SERVICE USER GENERAL TERMS & CONDITIONS – AGREEMENT
Section A: General Terms and Conditions for Tawasul Testing & Inspection Services and its Clients (Customers)

I/We do hereby make a commitment that I, having a good intention with true faith, will abide by the entire legal, moral & social values as well as the company’s values and policies in its true spirit and understanding while signing in/up and using the Tawasul Software/App to perform services as needed. I/We, as user, also confirm that I/we have read the terms and conditions mentioned herein below as well as in the Privacy Policy. We are happy to accept and proceed with “Tawasul Service”.

I. Terms of Reference

In these terms, where the context permits, the following terms shall be taken as detailed below:

  • “TAWASUL” means “Tawasul Testing & Inspection Services”.
  • “Service(s)” means any service rendered by TAWASUL within its scope of services & competencies, which may include but is not limited to Inspection, Registration & Certification, Compliance & Regulatory Affairs, Training and Testing; whereas testing services are outsourced (independent third party) from any recognized, accredited & certified laboratory for the scope of testing.
  • “Client” means the person, firm, company, or organization that engages TAWASUL to conduct/perform the Service(s).
  • “Inspection” means the examination/assessment of an Item (product, process, service, or installation) with regard to quality, quantity, safety, or against any applicable standards or regulatory requirements/schemes, quality marks, etc., carried out by TAWASUL on behalf of the Client.
  • The term “Item” is used to encompass a product, process, service, or installation, as appropriate.
  • “Document” means, but is not limited to, the report, certificate, quotation and/or proposal on the Service issued by TAWASUL or by an outsourced (third party) provider to the Client.

II. Conditions

These conditions apply in full; where in parts or partial, this shall be specified in the particular document:

  1. These conditions shall apply to all services/contracts for Service between TAWASUL and the Client to the exclusion of all other terms and conditions, including any terms or conditions which the Client may purport to apply, and any variation of these conditions (including any special terms and conditions agreed between TAWASUL and the Client) shall be inapplicable unless the same is agreed in writing by TAWASUL.
  2. TAWASUL shall not have the right to reject any application for Service, as long as the Service(s) requested are within the agreed range of services to be performed for the Client.
  3. The Document is confidential to the Client. TAWASUL shall not be under any obligation to discuss the Document or any of its contents with any party other than the Client unless written authorization is granted by the Client. The Client hereby irrevocably authorizes TAWASUL to send the Document to any third party as notified by the Client to TAWASUL by notice in writing.
  4. The Service is performed/conducted as per the agreed terms, which also clearly identify the reference standard/certification scheme/regulatory guidelines/in-house methods, etc., to be followed.
  5. The requirements against which the Service(s) is performed are normally specified in regulations, standards or specifications, inspection schemes, or contracts made with the Client.
  6. Independence, Impartiality and Integrity are maintained as per agreed terms.
  7. TAWASUL informs the Client if the inspection method proposed by the Client is considered inappropriate by any possible means, before or while agreeing the terms & conditions established.
  8. The Document shall be treated by the Client, its employees, agents, sub-contractors, subsidiaries and/or affiliates as a private and confidential document and shall not be used for any purpose in connection with advertising, except with the written permission of TAWASUL. TAWASUL grants the Client the right to advertise and mention that TAWASUL is the Client’s service agent. The Client shall ensure that such advertising does not portray TAWASUL in a negative way.
  9. A Document shall be issued in confidence to the Client and will be strictly treated as confidential. It may not be reproduced, either in its entirety or in part, and may not be used for advertisement or other unauthorized purposes without the written consent of TAWASUL.
  10. In the event of improper use of the Document, TAWASUL reserves the right to withdraw it, and to take such measures as it may think fit to prevent such improper usage, and TAWASUL shall be entitled to obtain an injunction or other equitable relief in addition to any other rights and remedies which TAWASUL may have at common law and/or under any statute.
  11. The Document may not be reproduced in full or in part except with the written approval of TAWASUL, which shall not be unreasonably withheld.
  12. TAWASUL will not enter into any discussion or correspondence with, nor disclose to, any third party concerning the contents of the report, unless required by the relevant government authorities, laws, or court orders.
  13. In the event that the Document is required for use in any administrative, legal, court, or arbitration proceedings, TAWASUL will render all assistance and explanation as may be reasonably required in the circumstances, provided that all costs and expenses of TAWASUL arising out of or incidental to the said proceedings shall be borne and paid by the Client.
  14. Except with the written approval of TAWASUL, TAWASUL shall not be called nor be liable to be called to give evidence in any court or arbitration proceedings by subpoena or otherwise. TAWASUL reserves its right to take part in any action for or against the Client.

This Agreement shall remain effective for as long as the Service is used, for the sake of business as well as mutual benefit. By checking the box while signing in, you confirm your consent to all the contents stated herein above in this document.
